These Terms govern your use of the Vibe.Exe website and of our products and services. Please read them alongside our Privacy Policy.
01Accepting these terms
By using our website, products or services, you agree to these Terms and our Privacy Policy. If you use them for a business, you confirm you have authority to accept these Terms for that business. If you do not agree, do not use the services.
A signed proposal, order form, quotation or statement of work can add to these Terms. If it conflicts with these Terms, the signed document wins for that engagement.
02Our services
Vibe.Exe provides AI products, business software and custom development, including:
- Business OS: a shared omni-channel inbox with AI agents for support, sales and follow-ups
- VibeCall: AI voice agents built from your business knowledge
- VibePOS: point-of-sale and business management with WhatsApp reports
- VibeRent: rent-a-car management with document scanning
- SehatDesk: hospital, clinic and healthcare management
- plotXchange and VibeDivider: property marketplace and land division tools
- Vibe Execute and VibeOdo: custom software, AI and Odoo ERP development
- Helper.pk: a home services marketplace
We may improve, change or retire features. We will give reasonable notice of changes that materially reduce a paid service.
03Accounts and security
- You must be at least 18, or have legal capacity to enter a contract
- Give accurate information and keep it up to date
- Keep passwords and access secure, and tell us quickly about any unauthorized access
- You are responsible for what happens under your account, including your staff’s use
04Acceptable use
You agree not to use the services to:
- Break any law or anyone else’s rights
- Send spam, or message people who have not agreed to hear from you
- Break the rules of connected platforms such as WhatsApp, Meta and TikTok
- Mislead, defraud or impersonate anyone
- Upload malware, or try to disrupt, overload or break into our systems
- Copy, reverse engineer or resell the services without written permission
05Fees and payment
- Prices, payment schedule and what is included are set out in your quotation or order
- Subscriptions are billed in advance for the period chosen
- Prices exclude taxes unless stated; you are responsible for applicable taxes
- We will give at least 30 days’ notice of price changes to a subscription
If a payment is more than 15 days overdue, we may suspend the service after notice until it is paid.
Cancellation and refunds
You can cancel a subscription at any time; it ends at the close of the current billing period. Fees already paid are not refundable, except where the law requires a refund or where we fail to provide the service. Refunds for custom development follow the milestones in the statement of work.
06Your data
You own the data you put into the services. You give us permission to host, process, back up and transmit it only to provide and support the services, and to use aggregated, anonymized data to improve them.
You are responsible for having the right to collect and use that data, including any consent needed from your customers or patients, and for giving them any privacy notices the law requires.
07Intellectual property
Vibe.Exe and its licensors own the services, including software, designs, AI configurations, trademarks and documentation. These Terms give you a right to use the services, not ownership of them.
Custom development
For Vibe Execute and VibeOdo projects, the statement of work sets out ownership. Unless it says otherwise:
- You own deliverables made specifically for you, once paid for in full
- We keep our pre-existing tools, libraries, frameworks and know-how, and you get a licence to use them within your deliverables
- Each party keeps the intellectual property it had before the project
08AI features
AI agents, voice agents and assistants generate answers from models and your knowledge base. You agree that:
- AI output can be incomplete or wrong, and should be checked before you rely on it
- You are responsible for the knowledge and instructions you give AI agents
- AI must not be the only basis for medical, legal or financial decisions; in SehatDesk, clinical decisions remain with qualified professionals
- We do not guarantee any particular business result from using AI
09Third-party services
The services connect to third parties such as WhatsApp, Meta, TikTok, Google Drive, AI model providers, payment processors and cloud hosts. Their terms apply to your use of them, and we are not responsible for their availability, changes or actions.
10Availability and support
We work to keep the services available and to fix problems quickly, but we do not promise uninterrupted or error-free service. Uptime commitments and support hours apply only if a signed agreement includes them.
11Suspension and termination
You can stop using the services at any time. We may suspend or end your access if:
- You seriously or repeatedly break these Terms
- Payment is overdue as described above
- The law requires it, or your use puts others or our systems at risk
When a service ends, you can ask for an export of your data within 30 days. After that we may delete it, unless the law requires us to keep it. Fees owed up to the end date remain payable.
12Disclaimers
Except as stated in these Terms or a signed agreement, the services are provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose, to the extent the law allows.
13Limitation of liability
To the extent the law allows, Vibe.Exe is not liable for indirect or consequential losses, including lost profits, revenue, data or business opportunities.
Our total liability for any claims relating to the services is limited to the amount you paid us for the affected service in the 12 months before the claim.
14Indemnity
You agree to cover Vibe.Exe for claims, losses and reasonable legal costs caused by your breach of these Terms, your data, or your use of the services in breach of the law or someone else’s rights.
15Governing law and disputes
These Terms are governed by the laws of Pakistan. We will first try to settle any dispute through good-faith discussion. If that fails within 30 days, the dispute goes to the courts of Islamabad, Pakistan, unless a signed agreement says otherwise.
16Changes and general terms
We may update these Terms. Material changes take effect 30 days after we post them or tell you, and continuing to use the services after that means you accept them.
If part of these Terms cannot be enforced, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these Terms without our written consent. Support questions can go to support@vibeexe.com.
